8. Contracts — Important Disclaimer

Bundle IQ provides contract templates, an AI-powered contract generation tool, and e-signature functionality as features of its platform. Bundle IQ Limited is not a law firm and nothing in our platform constitutes legal advice.

You must read and understand the following before using any contract feature on the Bundle IQ platform:

Templates are general-purpose only. Contract templates provided by Bundle IQ are written for general commercial use in England and Wales. They are starting points, not finished documents. They cannot account for your specific circumstances, sector-specific regulation, or the particular dynamics of your commercial relationship.

AI-generated contracts are not reviewed by lawyers. Where Bundle IQ generates a contract from your procurement data using AI, that output has not been reviewed, approved, or endorsed by any qualified solicitor or legal professional. The generated text reflects general commercial practice and should be treated as a draft requiring your review.

You are responsible for legal sufficiency. By using any contract template or AI-generated contract on Bundle IQ, you accept sole responsibility for reviewing and determining the legal sufficiency, appropriateness, and enforceability of that contract. Bundle IQ accepts no liability for any claim, loss, or dispute arising from any contract used or entered into through our platform.

E-signatures are valid under English law. Electronic signatures applied through Bundle IQ constitute valid signatures under the Electronic Communications Act 2000 and the eIDAS Regulation as retained in UK law. However, Bundle IQ acts only as a signature collection and timestamping platform — it is not a party to any contract executed through the platform.

Uploaded contracts are not reviewed by Bundle IQ. Where you upload your own contract to Bundle IQ for e-signature, Bundle IQ does not review, validate, or provide any opinion on that document. Any key terms displayed are extracted automatically and may be inaccurate.

No-contract option. Users may elect to proceed without a formal contract on the Bundle IQ platform. Bundle IQ does not recommend this approach for any transaction and accepts no liability for disputes arising where no signed contract exists.

Independent legal advice. For contracts of significant value (above £10,000), involving complex obligations, sector-specific regulation, or significant IP, we strongly recommend obtaining independent legal advice from a qualified solicitor before signing. The Law Society (lawsociety.org.uk) maintains a register of regulated UK solicitors.

These provisions supplement the general limitation of liability in Section 11 and are not limited by it. By using any contract feature on Bundle IQ, you confirm you have read, understood, and accepted this disclaimer in full.

These Terms of Service ("Terms") govern your access to and use of the Bundle platform and services provided by Bundle Technologies Ltd ("Bundle", "we", "us"). By registering for or using our services, you agree to these Terms.

1. Services

Bundle provides a procurement-as-a-service platform that connects customer organisations with vetted suppliers, managed by Bundle's category experts. Services include spend analysis, strategic sourcing, supplier management, contract lifecycle management, eProcurement, and AP automation.

2. Eligibility

You must be at least 18 years old and have authority to enter into legally binding contracts on behalf of the organisation you represent. By accepting these Terms, you represent that you meet these requirements.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorised access. We reserve the right to suspend accounts where misuse is suspected.

4. Customer Obligations

Customers agree to: provide accurate and complete information when submitting procurement requests; respond to Bundle communications in a timely manner; comply with all applicable laws in relation to their procurement activities; and not use the platform for any unlawful purpose.

5. Vendor Obligations

Vendors agree to: provide accurate company and compliance information; maintain valid insurance and required accreditations; fulfil any contracts entered into through the platform; and comply with Bundle's supplier code of conduct.

6. Fees and Payment

Fees for Bundle's services are set out in your applicable order form or service agreement. All fees are exclusive of applicable taxes. Payment terms are as specified in your agreement. Bundle reserves the right to suspend access for overdue balances following written notice.

7. Intellectual Property

Bundle retains all intellectual property rights in the platform, software, and associated materials. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your internal business purposes during the term of your agreement.

8. Confidentiality

Each party agrees to keep confidential the other party's non-public business information and to use it only in connection with the services. This obligation survives termination of these Terms for a period of three years.

9. Data Processing

Bundle processes personal data as described in our Privacy Policy and, where applicable, a Data Processing Agreement. By using our services, you acknowledge that we process data in accordance with those terms.

10. Limitation of Liability

To the maximum extent permitted by law, Bundle's aggregate liability to you for any claim arising from these Terms or your use of the services shall not exceed the fees paid by you to Bundle in the 12 months preceding the claim. Neither party shall be liable for indirect, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Bundle and its officers, directors, and employees from any claims, losses, or expenses arising from your breach of these Terms or your use of the platform in violation of applicable law.

12. Termination

Either party may terminate these Terms on 30 days' written notice. Bundle may terminate immediately for material breach. Upon termination, your access to the platform ceases and you must cease all use. Provisions that by their nature should survive will survive termination.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes

We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use of the services after the effective date constitutes acceptance.
