1. Background

Bundle IQ invests significantly in developing client relationships and building a quality vendor panel. This agreement protects those investments while preserving the Contractor's freedom to operate freely in the procurement market outside of specific Bundle IQ relationships.

2. Client non-solicitation

For a period of 12 months from the end of any engagement on which you worked, you agree not to:

• Directly approach, solicit, or accept work from any Bundle IQ client with whom you had substantive contact in the course of that engagement
• Introduce such a client to a competitor platform, consultancy, or alternative procurement service
• Use your knowledge of a client's procurement needs, budget, or commercial position (gained through Bundle IQ) to solicit work from them directly

This restriction applies to the specific client organisations you interacted with — not to entire industries or sectors.

3. Vendor non-circumvention

For the same 12-month period, you agree not to:

• Introduce Bundle IQ vendors you managed or evaluated to clients outside the platform, if doing so would circumvent Bundle IQ's commercial relationship with that vendor
• Accept referral fees, commissions, or other benefits from vendors in connection with introductions or recommendations made through Bundle IQ

4. What this does NOT restrict

This agreement does not prevent you from:

• Working as a procurement consultant, contractor, or adviser for any organisation not covered by Clause 2
• Working for competing procurement platforms in any capacity not involving Bundle IQ clients or vendors
• Responding to unsolicited approaches from any party, provided you did not initiate or encourage that approach
• Working with clients or vendors with whom you had a pre-existing relationship before joining Bundle IQ, provided you can evidence that pre-existing relationship

5. Remedy for breach

In the event of a proven breach of this agreement, Bundle IQ reserves the right to seek:

• A fee equivalent to 6 months of your most recent day rate as liquidated damages, reflecting the value of the relationship circumvented
• Injunctive relief to prevent ongoing breach
• Specific performance

The parties agree that 6 months' day rate is a genuine pre-estimate of the loss suffered and not a penalty.

6. Reasonableness

The parties acknowledge that the restrictions in this agreement are reasonable and necessary to protect Bundle IQ's legitimate business interests. If any restriction is found to be unenforceable as written, it shall be modified to the minimum extent necessary to make it enforceable.

7. Governing law

This agreement is governed by the laws of England and Wales.
