The commercial terms governing the relationship between Bundle Technologies Ltd and approved vendors on the Bundle IQ platform. By completing vendor registration, you agree to these terms.
"Bundle IQ" means Bundle Technologies Ltd, registered in England and Wales.
"Vendor" or "you" means the business or individual registered as an approved supplier on the Bundle IQ platform.
"Buyer" means any organisation or individual who has placed a procurement requirement on the Platform.
"Contract" means any commercial agreement between you and a Buyer executed through the Platform.
"IQ Protection" means the escrow payment service through which milestone payments are held and released.
"IQ Score" means the composite score assigned to your tender responses by Bundle IQ's evaluation algorithm.
"Trust Score" means the cumulative performance rating assigned to your vendor profile based on completed contracts, buyer ratings, and compliance status.
To register as a vendor on Bundle IQ you must:
Bundle IQ reviews all applications within 5 business days. Approval is at Bundle IQ's sole discretion. We may request additional documentation including insurance certificates, references, or proof of certifications. Approval does not guarantee any volume of work.
You are responsible for keeping your profile accurate and up to date. This includes: insurance expiry dates, certification status, geographic coverage, and stated capabilities. Bundle IQ may suspend your profile if material information becomes inaccurate.
When you submit a response to a requirement, you are making a genuine commercial offer. Responses must be accurate, complete, and reflect what you can actually deliver. Submitting artificially low bids with intent to renegotiate after award is a breach of this agreement.
Your response will be scored by IQ across price, capability, experience, and compliance. You can see your IQ Score as you build your response. A score below 60/100 is unlikely to result in an award — IQ's guidance on improving your score is visible in the vendor portal.
All buyer requirements shared with you through the Platform are confidential. You must not share requirement details, pricing expectations, or buyer identities with third parties, including competing vendors.
You agree that the pricing you offer Bundle IQ buyers will be equal to or better than you would offer those buyers directly for the same scope and volume. Bundle IQ buyers must not be disadvantaged by your participation in the platform.
Bundle IQ generates and facilitates your contracts, but is not a party to them. Your obligations under any contract are to the buyer. Bundle IQ does not guarantee buyer performance, payment (outside of IQ Protection escrow), or the accuracy of the buyer's brief.
You must deliver the scope, quality, and service levels described in the contract. Where you cannot meet a deadline or deliverable, you must notify the buyer promptly through the Platform and propose a resolution. Silent non-performance is a serious breach of this agreement.
You may not subcontract work awarded through Bundle IQ without prior written disclosure to the buyer. Where subcontracting is disclosed and agreed, you remain fully responsible for the subcontractor's performance and compliance with the Supplier Code of Conduct.
All contracts through Bundle IQ operate on milestone-based escrow payments via IQ Protection:

The Bundle IQ fee is deducted from escrow before payment is released to you. You will always see the net payment amount before you submit a response.
If a buyer disputes a milestone and does not confirm within 10 business days of the due date, Bundle IQ will open a case. You will be invited to submit evidence of delivery. Bundle IQ's case manager will make a determination within 5 business days.
By registering as a vendor, you agree to the Bundle IQ Supplier Code of Conduct, which is available at bundleiq.co.uk/supplier-code-of-conduct.html. The Code sets out the standards of conduct, quality, and business ethics Bundle IQ expects from all suppliers.
Key obligations include: honest and transparent commercial dealing; no bribery, kickbacks, or gifts to Bundle IQ employees or buyer representatives; compliance with UK employment law including the National Living Wage; and environmental responsibility appropriate to your operations.
Bundle IQ may suspend or remove your vendor profile in any of the following circumstances:
You retain ownership of any IP in deliverables you create, unless the contract with the buyer specifies a transfer or licence of IP rights. IQ's contract templates include standard IP clauses — review them before signing. If you are creating bespoke IP for a buyer, the IP terms in the contract govern that relationship.
You agree to comply with UK GDPR and the Data Protection Act 2018 in relation to any personal data you access through the Platform. Buyer data, including contact details and commercial information, must be used only for fulfilling the contract and not for any marketing or other purpose.
This agreement continues for as long as you hold an active vendor profile. Either party may terminate by giving 30 days' written notice. Active contracts at the time of termination continue under their own terms. Bundle IQ reserves the right to terminate immediately in cases of fraud or material breach.
This agreement is governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
